Indemnification Agreement & Liability Waiver For Business Consulting:  Contact via any method constitutes your, and your organization's signing of a legally binding agreement.  This agreement limits your, and your organization's rights in relation to use of this service, and your, and your organization's rights to legal recourse.  Read Carefully, and if you & your organization agree to the terms, you (as an agent of your organization, and your organization) may contact us and utilize the consulting service.  1) All advice provided is based in personal opinion and does not replace professional advice in any way.  Advice provided does not constitute Legal, Financial, or any other form of professional advice.  All advice provided should not be construed to constitute any form of professional advice & does not replace such professional advice.  2) You, and your organization agree to not attempt civil (or other) action against Spades Consulting LLC, or any related affiliates, entities, officers, agents, members, or employees for any resulting consequences as a result of following any advice provided.  You, and your organization agree to hold harmless Spades Consulting LLC, or any related affiliates, entities, officers, agents, members, or employees.  You, and your organization agree to fully release, and discharge Spades Consulting LLC, or any related affiliates, entities, officers, agents, members, or employees from any damages, costs, or any other form of hardship that may arise as a result of use of this service, regardless whether based on fault or negligence of Spades Consulting LLC, or any related affiliates, entities, officers, agents, members, or employees.  3) You, and your organization agree that nothing in this agreement, or in the services provided, constitutes a promise or guarantee of outcome in any matter for which you or your organization decided to utilize this service. No guarantees are made or implied, and all advice is product of personal opinion solely.  4) You, and your organization agree that you are at minimum, of legal age to enter into contracts, and are not attempting to utilize the services from within a state, province, territory, or country in which indemnity agreements are partially or wholly unenforceable.  5) You agree that you are of sufficient status within your organization in order to perform executive actions either independently or with the approval of any interested bodies within your organization (eg. Stakeholders, Owners, Partners, etc.), and where approval is needed, you have received it prior to entering contract with Spades Consulting LLC.  You, and your organization agree that you are operating on your organization's behalf in contacting and using this service, and all required approvals have been attained prior to contact. You and your organization agree that you are authorized to engage in contracting agreements, legal agreements, and are capable & authorized for making payments on your organization's behalf.  6) Contacting Spades Consulting LLC constitutes your and your organization's signature and agreement to these terms.  You and your organization agree that you and your organization have read, fully comprehended, and agree to the above terms and choose to proceed in contacting Spades Consulting LLC.  A: Contact through any other means is reliant upon agreement to the above terms. If you've become privy to any other method of contact, please review this agreement prior to contacting.  For other means of contact, please begin by stating you and your organization agree to the terms of the Indemnification Agreement & Liability Waiver For Business Consulting.  B: Spades Consulting LLC will not collect any applicable taxes which may be levied in the client locale for use of such services, be they online or otherwise. The client assumes full responsibility to render 'use tax', or any other taxes levied, to their respective tax authority in accordance with law, where applicable.  C: Spades Consulting LLC reserves the right to modify the terms of this agreement, without prior notice, at any time.  D: By using this service, you also agree that you have read and agree to the terms of the Information Collection Agreement contained in the Spades Consulting LLC Privacy Policy, and our wider Privacy Policy as a whole.  You also agree to the terms of service and privacy policy of our payment processor ("Stripe, Inc.").  E: You also agree that Spades Consulting LLC does not accept liability for data breaches or other issues that may arise as a direct or indirect result of the failures of third parties or third party service providers. Spades Consulting LLC, cannot directly ensure the security of information transmitted, stored, or otherwise handled through any third parties, or third party services and as such, you agree to fully release, and discharge Spades Consulting LLC, and any related affiliates, entities, officers, agents, members, & employees from any damages, costs, or any other form of hardship that may arise as a result of use of this service, regardless whether based on fault or negligence of Spades Consulting LLC, or any related affiliates, entities, officers, agents, members, & employees.
